TERMS OF USE AND MEMBERSHIP AGREEMENT

Parties
This membership agreement (hereinafter referred to as the "Agreement") is concluded and entered into force upon the electronic approval of the "Member" while registering for membership at www.onyediglobal.com (hereinafter referred to as the "site"). By registering, the user acknowledges that they have read, fully understood, and agreed to all the provisions of this Agreement.

Definitions
The company conducting the activities of www.onyediglobal.com is Onyedi Global Company, located at Yazır Mahallesi Abbas Sokak No: 3/1 42250 Selçuklu/Konya (hereinafter referred to as the "seller").

Site: The website www.onyediglobal.com is an online platform that provides various services and content.

Member: A person who registers on the site and benefits from the services offered under the terms specified in this Agreement.

Buyer: A Member who purchases goods and/or services offered for sale on the Site.

User: A person who visits www.onyediglobal.com, either by shopping or browsing without making a purchase.

Approval Process: The process by which a User activates their membership by sending a message from the membership form to www.onyediglobal.com.

Website Use Conditions and Membership Agreement: This agreement, concluded electronically between the real and/or legal persons who will benefit from the commercial and personalized services offered by www.onyediglobal.com, and the internet site.

Subject and Scope of the Agreement

The subject of the Membership Agreement is to define the services offered on the Site, the terms of usage, and the rights and obligations of the parties.

The scope of the Membership Agreement includes this Agreement and all notices, writings, and declarations made by the seller on the Site regarding usage, membership, and services. By accepting this Agreement, the Member also agrees to comply with all such declarations published on the Site and commits to acting in accordance with them.

www.onyediglobal.com provides services defined as electronic commerce under Consumer Law.

www.onyediglobal.com reserves the right to determine the services it provides on the Site and to make any changes to these services by publishing them on the Site.

Membership and Service Use Conditions

To become a Member, the user must submit the required personal information via the registration form and receive approval from the seller. Membership rights cannot be used before the registration process is completed.

In order to register as a Member, individuals must be of legal age, and representatives of legal entities must have the authority to bind the legal entity. Furthermore, individuals who have been temporarily suspended or permanently banned from membership by the seller cannot register.

The seller has the right to cancel the Membership Agreement and terminate or temporarily suspend the Member’s membership at any time, without notice or compensation, if the Member violates the terms of this Agreement, or if the seller deems the Member’s actions as posing a security or legal risk.

Rights and Obligations of the Parties

Member's Rights and Obligations

The Member agrees to comply with all terms in this Membership Agreement, the rules posted on the Site, and all applicable laws while using the services of the Site.

The Member acknowledges that the seller may disclose confidential and commercial information to authorities or rightful claimants as required by law, and the Member waives the right to request any compensation for this disclosure.

The Member is solely responsible for the security and confidentiality of their access tools (username, password, etc.) to the system. The seller is not responsible for any damages caused by misuse or negligence in handling access credentials.

The Member ensures that all information provided on the Site is accurate and lawful. The seller is not responsible for verifying or guaranteeing the accuracy of the information provided by the Member.

The Member agrees not to transfer their rights and obligations under this Agreement to any third party without the seller’s written consent.

The Member agrees not to engage in any activity that violates the intellectual property rights of the seller or third parties or competes with the seller’s services.

Buyer’s Rights and Obligations

The Buyer, by expressing an interest in purchasing a product, accepts the seller’s terms and conditions as specified for the product.

The Buyer acknowledges that the seller is not responsible for verifying whether a product is defective, prohibited, or counterfeit and that the seller makes no guarantees regarding the authenticity or the accuracy of product descriptions.

The Buyer agrees that in case the manufacturer or seller decides to cancel a sale, they will not hold the seller liable for any resulting damages or compensation.

The Buyer agrees to approve the pre-information form and distance selling contract related to the product they purchase, as required under the Consumer Protection Law No. 6205 and the Distance Contracts Regulation.

Seller’s Rights and Obligations

The seller reserves the right to change the services and content offered on the Site and may remove or block content uploaded by Members, without prior notice or warning.

The seller may use the Member’s personal and membership information for marketing, promotional, and statistical purposes in accordance with the privacy policy.

The seller is not responsible for resolving disputes between Members and does not act as an arbitrator or mediator in such cases.

Intellectual Property Rights

The Site’s content, including design, text, images, HTML code, and other code, is the intellectual property of the seller or used under license. Members cannot resell, share, distribute, or create derivative works from any content on the Site without the seller’s permission.

Modifications to the Agreement

This Agreement is valid until the Member cancels their membership or the seller terminates the membership. The seller has the right to amend any provision of this Agreement at any time, and the updated version will become effective when published on the Site.

Limitation of Liability

The seller is not responsible for any direct or indirect damages arising from the use of the Site, including any interruption or error in service. The seller is also not responsible for any damages resulting from third-party actions or technical issues.

Force Majeure

The seller will not be held liable for failing to fulfill obligations under this Agreement due to force majeure events. Such circumstances will not be considered a delay or default, and the seller will not be liable for any resulting damages.

Governing Law and Jurisdiction

This Agreement will be governed by the laws of Turkey, and any disputes will be settled by Consumer Arbitration Committees or Consumer Courts in the seller’s place of residence.

Enforceability

By registering, the Member agrees to all terms outlined in this Agreement. The Agreement is effective upon the Member’s approval and may be amended by the seller at any time. Updated versions of the Agreement will be published on the Site and become effective immediately.
